These Platform Terms of Use and Privacy Policy (collectively, the “Terms”) govern your access to and use of the Recitera website, mobile applications, AI-powered educational tools, digital interfaces, and related services (collectively, the “Platform”), operated by RNZ Nexus Inc., a corporation incorporated under the laws of Canada (“Recitera”, “we”, “us”, or “our”).

PART I
TERMS OF USE
- ACCEPTANCE & LEGAL EFFECT
- These Terms constitute a legally binding agreement between you (“User”, “you”) and Recitera.
- You agree to these Terms and all applicable laws and regulations by:
- Creating an account;
- Clicking “Accept”;
- Uploading audio;
- Accessing educational tools;
- Using AI-powered services.
- Recitera may amend these Terms from time to time. Continued use constitutes acceptance of updated Terms.
- ELIGIBILITY & DIGITAL CONSENT
- The Platform is intended for a global audience.
- You represent and warrant that:
- You are at least 18 years of age; or
- If under 18 (or under the age of majority in your jurisdiction), you have verifiable parental or guardian consent and supervision.
- Children under 13 years of age may not use the Platform without verified parental authorization where legally required.
- Recitera reserves the right to request identity or consent verification.
- USER ACCOUNTS & SECURITY
- To access certain features, you must create an account.
- You agree to:
- Provide accurate and complete information;
- Maintain confidentiality of your credentials;
- Accept responsibility for all activity under your account.
- You must notify Recitera immediately of unauthorized use or security breaches.
- Recitera may suspend or terminate accounts suspected of misuse.
- The User may, at any time, request deletion of their account and associated personal data through the Platform interface or by contacting Recitera.
- Upon such request:
- the User’s account shall be deactivated and access terminated;
- active subscriptions, if any, may be cancelled in accordance with applicable billing terms;
- personal data shall be deleted or anonymized within a reasonable period, subject to legal, regulatory, and operational retention requirements.
- Recitera may retain certain information where necessary to:
- comply with legal obligations;
- resolve disputes;
- enforce agreements; or
- ensure platform security and integrity.
- INTELLECTUAL PROPERTY RIGHTS
- All content available on the Platform, is the exclusive property of Recitera or its licensors and is protected by Canadian and international intellectual property laws, including but not limited to:
- Text, graphics, logos;
- Educational methodologies;
- Software architecture;
- AI algorithms;
- Audio and video materials;
- Platform design and interface;
- You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for personal, non-commercial educational purposes.
- You may not:
- Reproduce, distribute, or publicly display content without authorization;
- Reverse engineer AI systems;
- Exploit content commercially without written consent.
- To the extent permitted by applicable law, any datasets, annotations, analytical outputs, machine learning models, or system improvements generated through the processing of User Audio Content shall constitute proprietary assets of Recitera, provided that such assets do not identify the User personally unless explicitly agreed.
- USER CONDUCT & PROHIBITED ACTIVITIES
- Recitera operates as an independent educational platform and is not affiliated with any government, political authority, religious institution, or sectarian organization.
- The Platform does not issue Fatwas or religious rulings, and all educational content is provided for informational and learning purposes only.
- Any statements, interpretations, or opinions expressed by educators, contributors, or brand ambassadors reflect their personal views and do not constitute official positions of Recitera.
- The User expressly acknowledges and agrees that:
- The Platform is a technology-enabled educational environment and does not act as a religious authority, institution, or governing body;
- No content, feedback, interpretation, or output provided through the Platform — whether generated by artificial intelligence, educators, contributors, or other users — shall be interpreted as a fatwa, religious ruling, binding interpretation, or authoritative theological position;
- Any educational content, recitation guidance, or interpretative material is provided solely for learning and informational purposes, and may reflect differing scholarly views, personal interpretations, or methodological approaches;
- The User shall not rely on the Platform as a substitute for consultation with qualified religious scholars or certified instructors where authoritative guidance is required;
- The User shall not represent, publicly or privately, that any output, feedback, or content obtained through the Platform constitutes an official, endorsed, or authoritative religious position of Recitera.
- Recitera disclaims any responsibility or liability arising from any interpretation, reliance, or use of Platform content as a source of religious authority.
- You agree not to:
- Modify, copy, or reverse engineer any portion of the Platform;
- Use the Platform for unauthorized commercial purposes;
- Post unlawful, defamatory, extremist, or offensive content;
- Engage in hate speech or harassment;
- Distort religious teachings in a harmful or misleading manner;
- Circumvent security measures;
- Disrupt the integrity of AI processing systems;
- Record sessions without required consent.
- Recitera reserves the right to remove content and restrict access at its sole discretion.
- The User agrees not to use the Platform for any unlawful, fraudulent, or abusive financial activity, including but not limited to:
- money laundering, terrorist financing, or sanctions evasion;
- the use of stolen payment methods or unauthorized financial instruments;
- engaging in transactions intended to disguise the origin of funds;
- facilitating or participating in any activity that violates applicable financial crime, anti-corruption, or sanctions laws.
- Recitera reserves the right, at its sole discretion, to:
- monitor transactions and user activity for the purpose of detecting suspicious or unlawful conduct;
- suspend or terminate accounts associated with suspected financial misconduct;
- refuse, delay, or cancel transactions where required to comply with applicable laws, payment provider requirements, or internal risk controls;
- report suspicious activity to relevant authorities or payment providers where legally required.
- AI TOOLS & EDUCATIONAL DISCLAIMER
- Recitera utilizes AI-assisted audio processing and pronunciation analysis tools to enhance educational feedback.
- These tools:
- Assist human learning;
- Do not replace qualified instructors;
- Do not independently issue religious rulings;
- Do not guarantee specific educational outcomes.
- Human educators remain central to all educational interpretation.
- The User acknowledges and agrees that:
- Artificial intelligence and automated analysis tools used by the Platform may generate incomplete, inaccurate, or imperfect outputs, including in relation to pronunciation analysis, feedback, or educational suggestions;
- such outputs are provided for assistance purposes only and shall not be relied upon as definitive, authoritative, or error-free guidance;
- the User remains solely responsible for verifying, reviewing, and, where necessary, seeking confirmation of any educational feedback, including through qualified human instructors;
- Recitera does not guarantee the accuracy, completeness, or reliability of any AI-generated or translated content.
- Recitera shall not be responsible for any errors, omissions, or inaccuracies generated by AI-assisted tools unless and until such issues are specifically notified by the User and Recitera has been given a reasonable opportunity to review and address such issue.
- The Platform may use automated or AI-assisted technologies, including for accessibility, translation, or user interface adaptation.
- Such technologies are intended to assist usability and accessibility but may produce incomplete, inaccurate, or inconsistent results. The User remains responsible for verifying usability and suitability for their individual needs.
- DISCLAIMER OF WARRANTIES
- The Platform is provided on an “as is” and “as available” basis.
- To the fullest extent permitted by law, Recitera disclaims all warranties, express or implied, including:
- Merchantability;
- Fitness for a particular purpose;
- Accuracy or reliability of content, including any AI-generated or translated content;
- Uninterrupted availability;
- The accuracy, completeness, or reliability of any outputs generated by artificial intelligence or automated systems.
- Recitera does not guarantee specific learning results.
- Recitera endeavors to make the Platform accessible and usable for a broad range of users, including individuals with disabilities, and may implement accessibility features, tools, or third-party solutions to enhance usability.
- However, the User acknowledges and agrees that:
- the Platform may not be fully accessible in all jurisdictions or for all users, devices, or assistive technologies;
- accessibility features, including any third-party accessibility tools or plugins, are provided on an “as is” basis and may not function without interruption, error, or compatibility limitations;
- the implementation of accessibility features does not constitute a representation or warranty of compliance with any specific accessibility law, regulation, or standard, including but not limited to WCAG, ADA, or similar frameworks;
- Recitera shall not be liable for any inability to access or use the Platform resulting from limitations of accessibility features, assistive technologies, or third-party tools.
- LIMITATION OF LIABILITY
- To the maximum extent permitted by law, Recitera, its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to:
- Loss of data;
- Loss of profits;
- Service interruption;
- Educational outcomes.
- Nothing herein excludes liability that cannot be excluded under applicable law.
- Without limiting the generality of the foregoing, Recitera shall not be liable for any loss, damage, or reliance arising from:
- inaccuracies or errors in AI-generated feedback;
- user interpretation or misuse of AI-generated outputs;
- failure by the User to seek clarification or verification from qualified human instruction.

PRIVACY POLICY
- COMMITMENT TO PRIVACY & PIPEDA COMPLIANCE
Recitera is committed to protecting personal information in accordance with:
- The Personal Information Protection and Electronic Documents Act (PIPEDA);
- Applicable Canadian privacy laws;
- International data protection principles where applicable.

- VOICE PROCESSING & EXPLICIT CONSENT
- Because Recitera’s core functionality includes AI voice recognition, by uploading or recording audio, you expressly consent to:
- Recording;
- Secure storage;
- Automated analysis;
- Educational processing.
- Voice samples are not used for synthetic voice replication without separate explicit consent.
- The User retains ownership of their voice, recordings, and audio content uploaded or generated through the Platform (the “User Audio Content”).
- By uploading, recording, or otherwise providing User Audio Content through the Platform, the User expressly grants to Recitera a worldwide, non-exclusive, royalty-free, irrevocable, perpetual, and sublicensable license to:
- record, store, process, analyze, and reproduce such User Audio Content;
- use such User Audio Content for the operation, improvement, development, and training of the Platform’s educational tools, including artificial intelligence and machine learning systems;
- generate derived data, annotations, analytical outputs, and aggregated datasets based on such User Audio Content; and
- use such User Audio Content in anonymized or aggregated form for research, development, quality improvement, and platform optimization purposes.
- Such use shall be conducted in accordance with applicable data protection laws and, where reasonably feasible, with appropriate anonymization or de-identification measures.
- THIRD-PARTY SERVICE PROVIDERS
- We may share information with trusted service providers who assist in:
- Cloud hosting;
- Payment processing;
- Security monitoring;
- Analytics services.
- Such providers are contractually obligated to maintain confidentiality and security.
- We do not sell personal data.
- The Platform may integrate or rely on third-party accessibility tools, scripts, or services to enhance user experience.
- Such tools may process technical data, interact with user interfaces, or rely on external infrastructure. Recitera does not control and shall not be responsible for the performance, accuracy, availability, or legal compliance of such third-party accessibility services.
- Users acknowledge that the use of such tools may be subject to the terms and policies of the respective third-party providers.
- DATA SECURITY & INTERNATIONAL TRANSFERS
- We implement industry-standard security measures, including:
- Encryption (SSL/TLS);
- Secure server infrastructure;
- Access controls.
- Due to the global nature of the Platform, data may be processed outside your country of residence. Transfers are conducted in accordance with Canadian privacy standards and applicable international safeguards.
- DATA RETENTION
- Personal data is retained only for as long as necessary to:
- Provide services;
- Comply with legal obligations;
- Resolve disputes;
- Enforce agreements.
- Where the User exercises their right to deletion:
- identifiable personal data shall be deleted or irreversibly anonymized;
- data required for legal compliance, fraud prevention, or dispute resolution may be retained for the period required under applicable law.
- Notwithstanding any request for deletion of personal data, the User acknowledges and agrees that:
- data that has been anonymized, aggregated, or irreversibly transformed such that it no longer identifies the User may be retained by Recitera;
- any datasets, annotations, analytical outputs, or machine learning models developed using such data shall not be subject to deletion, alteration, or reversal;
- deletion of personal data shall not require the removal, retraining, or modification of artificial intelligence or machine learning systems that have been trained using such data.
- Recitera shall ensure that any retained data used for such purposes does not reasonably permit the identification of the User.
- YOUR RIGHTS
- Under PIPEDA and applicable laws, you may:
- Request access to your personal data;
- Request correction of inaccuracies;
- Request deletion where legally permissible.

PART III
GOVERNING LAW & DISPUTE RESOLUTION
- GOVERNING LAW
- These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
- Nothing in this clause shall limit the application of mandatory consumer protection or data protection laws applicable in the user’s country of residence where such laws cannot be contractually excluded.
- GOOD FAITH RESOLUTION
Before initiating formal proceedings, the parties agree to attempt in good faith to resolve any dispute, claim, or controversy arising out of or relating to these Terms through informal negotiation for a period of at least thirty (30) days following written notice of dispute.
- Arbitration Agreement
- Subject to applicable mandatory consumer laws, any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform shall be finally resolved by binding arbitration.
- Arbitration shall:
- Be administered by a recognized international arbitration institution (e.g., the ADR Institute of Canada (ADRIC) or the International Chamber of Commerce (ICC), as selected by Recitera);
- Be conducted in English;
- Have its legal seat in Toronto, Ontario, Canada;
- Be conducted by a single arbitrator;
- Be confidential.
- The arbitral award shall be final and binding and may be enforced in any court of competent jurisdiction under the New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards.
- CONSUMER EXCEPTION
If applicable law in the user’s country of residence grants the user the right to bring claims before local courts or prohibits mandatory arbitration, nothing in this clause shall deprive the user of such rights.
- INJUNCTIVE RELIEF
Notwithstanding the foregoing, Recitera may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or platform security.
PART IV
EUROPEAN UNION (GDPR) ADDENDUM
- This section applies exclusively to users located in the European Economic Area (EEA), the United Kingdom (where applicable), and Switzerland (collectively, “EU Users”), to the extent that Regulation (EU) 2016/679 (“GDPR”) or equivalent legislation applies.
- In the event of conflict between this section and other provisions of the Privacy Policy, this section shall prevail for EU Users.
- DATA CONTROLLER
- For purposes of the GDPR, RNZ Nexus Inc. acts as the “Data Controller” of personal data collected through the Platform.

- LEGAL BASES FOR PROCESSING
- Recitera processes personal data of EU Users under one or more of the following legal bases:
- Performance of a Contract (Article 6(1)(b)):
To provide Platform services and AI-powered educational tools.
- Legitimate Interests (Article 6(1)(f)):
For service improvement, fraud prevention, security monitoring, and platform optimization.

- Where processing is based on consent, EU Users may withdraw consent at any time without affecting prior lawful processing.
- SPECIAL CATEGORIES OF DATA
- Recitera does not intentionally process special categories of personal data under Article 9 GDPR.
- Audio recordings used for pronunciation analysis are processed solely for educational purposes and not for biometric identification.
- Recitera does not conduct automated decision-making producing legal or similarly significant effects within the meaning of Article 22 GDPR.
- DATA SUBJECT RIGHTS
- EU Users have the following rights under GDPR:

- INTERNATIONAL TRANSFERS
- As Recitera is based in Canada, personal data of EU Users may be transferred outside the European Union.
- Canada has been recognized by the European Commission as providing an adequate level of data protection under GDPR (for commercial organizations subject to PIPEDA).
- Where data is transferred to third-party service providers outside Canada or the EU, Recitera ensures appropriate safeguards are in place, including:

- DATA RETENTION
- EU User data is retained only for as long as necessary to:

GENERAL PROVISIONS

- These Terms constitute the entire agreement between you and Recitera regarding the Platform.
- These Terms are drafted and shall be interpreted in the English language.
- The Platform may provide translations of these Terms or other content into languages other than English for convenience and accessibility purposes only, and such translations are provided on a non-binding basis.
- In the event of any inconsistency, discrepancy, or conflict between the English version and any translated version, the English version shall prevail and be controlling.
- Recitera shall not be liable for any misunderstanding, misinterpretation, or reliance based on translated versions of these Terms or any Platform content.
